Job Title: Transaction Specialist Lawyer
Location: Mumbai
Experience: 7-10 years Post Qualification Experience (P.Q.E.)

Areas of Expertise:

  • Drafting and reviewing legal documentation related to:
    • Day-to-day business operations
    • Fund-raising and debt-raising transactions
    • Investments made by the business
    • Internal governance and employee-related documentation
  • Negotiation and structuring of corporate transactions
  • Coordination with external legal advisors for complex transactions

Qualification :

Bachelor degree

Primary Responsibilities :

Key Responsibilities:

  1. Legal Documentation & Drafting:

    • Prepare, review, and negotiate agreements, term sheets, shareholder agreements, loan agreements, employment contracts, and other key documents.
    • Ensure legal accuracy, risk mitigation, and alignment with business objectives.
  2. External Counsel Management:

    • Identify and engage external legal counsels or law firms for specialized and complex transactions.
    • Coordinate with external advisors to ensure seamless execution of legal matters.
  3. Transaction Support & Execution:

    • Work closely with internal teams to facilitate fund-raising, debt-raising, and investment transactions.
    • Provide legal inputs and structuring advice to optimize commercial outcomes.
    • Ensure compliance with regulatory and corporate governance requirements.
  4. Timely Completion of Assignments:

    • Support the legal leadership in ensuring all documentation and legal tasks are completed within deadlines.
    • Maintain a strong repository of legal documents and best practices for transactional matters.

Qualifications & Skills:

  • LLB from a reputed law school.
  • 7-10 years of experience in corporate transactions, M&A, fund-raising, debt financing, and commercial contracting.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to work efficiently in a fast-paced environment and manage multiple transactions simultaneously.
  • Experience in working with business teams and external legal advisors.
